1. Agreement overview
This Partner Agreement ("Agreement") is entered into between SmartInfra Nordic AB (Organization Number: 559561-3794), hereinafter referred to as "SmartInfra Nordic AB" or "Platform", and the independent seller ("Partner" or "You") who wishes to participate in the SmartInfra Nordic AB Independent Seller Program (the "Program").
By accepting these terms, you agree to act as an independent seller of SmartInfra Nordic AB products, including but not limited to SmartUR and SmartAudit subscriptions, and to receive automatic commission payments as outlined in this Agreement.
2. Program description
The SmartInfra Nordic AB Partner Program enables independent sellers to:
- Digitally onboard and manage their partner account
- Complete automated KYC/AML verification via Stripe
- Accept platform terms and conditions
- Sell SmartInfra Nordic AB subscriptions using referral links, coupon codes, or invite codes
- Receive automatic tiered commission payments (10-20% based on active subscriptions)
- Access a dedicated partner dashboard to track performance, tier status, and earnings
3. Partner relationship
3.1 Independent contractor status
You acknowledge and agree that you are an independent contractor and not an employee, agent, or representative of SmartInfra Nordic AB. This Agreement does not create any partnership, joint venture, or employer-employee relationship between you and SmartInfra Nordic AB.
3.2 No authority to bind
You have no authority to bind SmartInfra Nordic AB to any agreement, make any representations or warranties on behalf of SmartInfra Nordic AB, or create any obligations for SmartInfra Nordic AB.
4. Commission structure
4.1 Tiered commission rates
Partners earn commission based on the number of active subscriptions attributed to their account. Commission rates are tiered to reward growth:

| Silver | 11-25 | 12% |
| Gold | 26-50 | 15% |
| Elite | 51+ | 20% |
The commission rate is calculated based on the gross subscription value paid by the customer.
4.2 How tier rates are applied
Important: When a partner generates a new subscription sale, the commission rate for that specific subscription is determined by the partner's tier at that moment and is then locked permanently (grandfathered) for that subscription.
- New subscriptions use your current tier rate at the time of sale
- That rate is permanently locked for that subscription
- If you move up or down tiers later, only new subscriptions use the new rate
- Existing subscriptions continue paying at their original locked rate
Example: If you're in Gold tier (15%) and make a sale, that subscription pays 15% forever. If you later drop to Bronze tier (10%) due to cancellations, your existing Gold-tier subscriptions still pay 15%, but new sales will use the 10% Bronze rate.
4.3 Payment model – application fee
SmartInfra Nordic AB uses the application fee model via Stripe Connect:
- Customer pays 100% of subscription price to SmartInfra Nordic AB
- Stripe automatically transfers the appropriate tier-based commission to Partner's connected Stripe Express account
- No manual payout processing required
- All transactions are fully auditable and compliant
4.4 Attribution methods
Partners can choose from the following methods to attribute sales:

5. Partner onboarding process
5.1 Account creation
To become a Partner, you must:
- Create a Partner account on SmartInfra Nordic AB's platform
- Provide accurate company and contact information
- Complete Stripe Express account creation and verification
- Pass automated KYC/AML checks administered by Stripe
- Accept these Partner Terms & Conditions
5.2 Stripe verification
All Partners must complete identity verification through Stripe, which includes:
- Identity document verification
- Bank account connection for payouts
- AML/KYC compliance checks
- Business verification (if applicable)
5.3 Activation requirements
Your Partner account will be activated only after:
- Stripe marks your account as
charges_enabled - You explicitly accept these Partner Terms & Conditions
- Your acceptance is recorded with timestamp
Important: You cannot sell SmartInfra Nordic AB products until all activation requirements are met.
6. Partner responsibilities
6.1 Compliance
Partners must:
- Comply with all applicable laws and regulations
- Accurately represent SmartInfra Nordic AB products and services
- Not make false or misleading claims about SmartInfra Nordic AB offerings
- Maintain up-to-date and accurate account information
- Protect customer data and respect privacy laws (GDPR compliance)
6.2 Prohibited activities
Partners are prohibited from:
- Engaging in fraudulent or deceptive practices
- Using spam or unsolicited marketing methods
- Misrepresenting the relationship with SmartInfra Nordic AB
- Offering unauthorized discounts or pricing
- Sharing or selling Partner credentials
- Manipulating referral systems or attribution methods
7. Commission payment terms
7.1 Automatic payouts
Commissions are automatically transferred to your Stripe Express account by Stripe according to your payout schedule (typically daily, weekly, or monthly based on your Stripe settings).
7.2 Payout currency
Payouts are made in the currency associated with your Stripe account, subject to Stripe's currency conversion rates if applicable.
7.3 Refunds and chargebacks
In the event of customer refunds or payment disputes:
- Stripe automatically handles commission reversals
- If a subscription is refunded, the associated commission will be deducted from your future earnings
- SmartInfra Nordic AB is not responsible for managing commission clawbacks – this is handled automatically by Stripe
8. Partner dashboard
Each Partner has access to a dedicated dashboard displaying:
- Account status and verification status
- Current tier badge and name (Bronze, Silver, Gold, or Elite)
- Number of active subscriptions (used for tier calculation)
- Progress bar to next tier showing how many more active subscriptions needed
- Active referral links, coupon codes, and invite codes
- Subscription sales attributed to your account (with individual commission rates)
- Revenue generated and total commission earned
- Stripe payout status (read-only)
- Performance analytics and reporting
The dashboard provides real-time visibility into your tier status and clearly shows how close you are to reaching the next commission level. All four tiers are displayed with your current tier highlighted.
8.1 Marketing materials
Partners have access to professional marketing materials through their partner account, including:
- Product brochures and presentation materials
- Pre-designed social media posts and graphics
- Email templates and sales guides
- Brand guidelines and logo assets
- Product screenshots and feature descriptions
All marketing materials must be used in accordance with SmartInfra Nordic AB's brand guidelines and may not be modified without prior written approval. Partners are responsible for ensuring all marketing communications comply with applicable advertising and consumer protection laws.
9. Data protection & privacy
9.1 No storage of sensitive data
SmartInfra Nordic AB does not store or process:
- Bank account information
- Identity documents
- Payment card details
All sensitive data is handled exclusively by Stripe in accordance with PCI-DSS and applicable regulations.
9.2 GDPR compliance
Partners must comply with GDPR and other applicable data protection laws when handling customer information. SmartInfra Nordic AB processes partner data as outlined in our Privacy Policy.
10. Intellectual property
10.1 License to use trademarks
SmartInfra Nordic AB grants you a limited, non-exclusive, non-transferable license to use SmartInfra Nordic AB trademarks, logos, and marketing materials solely for the purpose of promoting SmartInfra Nordic AB products as part of this Program.
10.2 Restrictions
You may not:
- Modify SmartInfra Nordic AB trademarks or branding
- Use SmartInfra Nordic AB intellectual property for any other purpose
- Register domain names, social media accounts, or trademarks containing "SmartInfra Nordic AB" or similar marks
11. Partner account status
11.1 Status types
Partner accounts can have the following statuses:

| Pending terms | Awaiting acceptance of Partner Terms & Conditions |
| Active | Fully verified and authorized to sell |
| Suspended | Account temporarily or permanently disabled |
11.2 Suspension and termination
SmartInfra Nordic AB reserves the right to suspend or terminate your Partner account if:
- KYC/AML verification fails
- You violate these Partner Terms & Conditions
- Your Stripe account is disabled or restricted
- You engage in prohibited activities
- You provide false or misleading information
12. Liability and indemnification
12.1 Limitation of liability
SmartInfra Nordic AB shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Partner Program.
12.2 Indemnification
You agree to indemnify and hold harmless SmartInfra Nordic AB from any claims, damages, or expenses arising from your breach of this Agreement or violation of applicable laws.
13. Modifications to terms
SmartInfra Nordic AB reserves the right to modify these Partner Terms & Conditions at any time. Changes will be communicated via email and posted on this page. Continued participation in the Program after changes constitutes acceptance of the updated terms.
14. Governing law
This Agreement is governed by the laws of Sweden. Any disputes arising from this Agreement shall be resolved in the courts of Sweden.
